NORTH GEORGIA ASSOCIATED LIBRARIES CONSTITUTION ARTICLE I The name of the organization shall be North Georgia Associated Libraries. ARTICLE II Object The objectives of this organization shall be: 1. To provide a forum where librarians from North Georgia libraries may meet to discuss and to act on matters of interest to all. 2. To provide a means for the development of projects beneficial to one or more of the libraries and to provide an organizational structure under which member units may develop joint cooperative projects. 3. To enable member libraries to reinforce each other by lending materials and support on an area wide basis when local library resources are insufficient to handle unexpected requirements. ARTICLE III Membership Section 1. Shall be an academic, public, or special library, and any public school system (rather than individual school libraries) in North Georgia. Each public school system shall count as one member. Section 2. Shall be upon payment of dues provided for in the Bylaws. Section 3. Shall be upon recommendation of the Executive Board. ARTICLE IV Officers Section 1. Officers Officers of this association shall consist of a chair, vice-chair/chair elect and a secretarytreasurer. Section 2. Duties of Officers a. The Chair shall preside at all meetings, appoint committees, and perform such duties as pertain to that office. b. The Vice-Chair shall coordinate the scheduling of meeting places and appropriate programs. The Vice-Chair shall preside at all meetings in the absence of the Chair. The Vice-Chair shall succeed the Chair as principal officer in the next term. c. The Secretary-Treasurer shall keep a record of all meetings, record official actions of the Association, and shall preside over meetings in the absence of the Chair and Vice-Chair. He/she shall also have custody of the financial records. d. The three elected officers shall constitute an Executive Board. ARTICLE V Gifts All gifts or grants to the Association shall, subject to conditions attached thereto, be in the custody of the Executive Board. The Board shall have the authority to hold, invest, disburse and otherwise deal with all funds and shall submit a financial report to the membership at each meeting. ARTICLE VI Meetings Meetings of the Association shall be scheduled at a location and time designated by the Association. Special meetings may be called by the Chair. A majority of the members present shall constitute a quorum. ARTICLE VII Amendments This Constitution may be amended at any meeting by a two-third majority vote of the members present and voting. Notice of a pending amendment must be given in writing to each member library at least two weeks preceding the meeting at which the vote to amend the Constitution is to be taken.
